Bylaws

Preamble

We, the members of Hasana, establish these bylaws to govern the affairs of our organization. Hasana is dedicated to empowering the Muslim community through impactful events and initiatives, fostering unity, and promoting transparency in all our endeavors. We commit ourselves to upholding the values of community empowerment, unity, and transparency, while operating responsibly and ethically to achieve our mission and vision. These bylaws serve as a framework to guide our actions, promote accountability, and ensure the long-term success and sustainability of Hasana.

Article 1: Name

Section 1: Name

The name of this organization shall be "Hasana."

Article 2: Mission and Vision

Section 1: Mission Statement

At Hasana, we believe in the transformative power of community empowerment, understanding that to uplift globally, we must first empower locally. Through a commitment to education, connection, and upliftment, we create impactful events that enrich and strengthen our local Muslim community. By fostering unity, compassion, and personal growth, we empower individuals to make a positive difference in their own lives and those around them. Through our collective efforts and donations, we strive to extend this empowerment nationally and globally, by providing relief to communities that are in need.

Section 2: Vision Statement

Our vision at Hasana is to create a world where every Muslim, regardless of their background or circumstance, has the opportunity to thrive and contribute meaningfully to society. By focusing on local education, community connection, and upliftment, we lay the foundation for global empowerment. We envision a future where our local events serve as catalysts for positive change, inspiring Muslims to become agents of transformation in their communities and beyond. Through our commitment to collecting donations and supporting impactful initiatives, we aim to create a ripple effect of empowerment that reaches every corner of the globe, fostering a more just, compassionate, and interconnected ummah.

    1. We believe in fostering an environment of growth and self-actualization, where every individual has the opportunity to unlock their full potential and contribute meaningfully to society. Through our programs and initiatives, we empower individuals to develop the skills, knowledge, and confidence needed to pursue their aspirations and effect positive change in their lives and communities.

  2. Unity: 

    1. The heart of everything we do at Hasana. We strive to build bridges of understanding and cooperation, bringing Muslims together from diverse backgrounds to create a strong and vibrant community. By celebrating our differences and embracing our shared values, we foster a sense of belonging and solidarity that transcends barriers and unites us in our common humanity.

  3. Transparency: 

    1. The cornerstone of our organizational culture, reflecting our commitment to honesty, integrity, and accountability. We believe in open communication and disclosure, ensuring that our actions and decisions are guided by ethical principles and serve the best interests of our community. By operating with transparency and integrity, we build trust and confidence among our members, partners, and stakeholders, fostering a culture of collaboration and mutual respect.

Article 3: Board of Directors (Members)

Section 1: Composition

The Board of Directors shall consist of no less than 3 and no more than 4 individuals committed to the mission and vision of Hasana.

Section 2: Vacancies

a. In the event of a vacancy, the remaining Board members shall find, interview, and vote on the new Board member to fill in the vacancy.

b. The term of a Board member is one year. Board members wishing to renew their contract may do so at the end of the fiscal year, which runs from January 1 to December 31.

c. Board members may resign with at least two weeks' notice or may be removed by a majority vote of the Board in case of issues such as a breach of NDAs.

Article 4: Duties and Powers of the Board of Directors

Section 1: Responsibilities

The Board of Directors shall be responsible for overseeing the organization's activities, financial matters, and ensuring the execution of impactful events.

Section 2: Powers

The Board of Directors shall have the authority to make strategic decisions, allocate funds, and approve the creation of committees when needed.

Article 5: Director Compensation and Reimbursement

Section 1: Volunteer Service

The Directors of Hasana are initially volunteering their time, energy, and skills to the organization without financial compensation. This reflects their commitment to Hasana’s mission and the desire to direct the maximum amount of resources towards achieving the organization's objectives.

Section 2: Reimbursement of Expenses

Directors may be reimbursed for reasonable expenses directly related to performing their duties, purchasing items for events, upon approval by the Board. Such reimbursements are contingent upon the availability of funds and must be documented and justified as per the organization's financial policies.

Section 3: Transition to Compensation

As Hasana grows and its financial situation strengthens, the Board may consider adopting a policy for compensating directors for their service. This decision will be based on a thorough review of the organization's finances, the need to attract and retain qualified board members, and compliance with all applicable laws and regulations regarding nonprofit governance and compensation.

a. Assessment for Compensation: The Board shall annually assess the organization's financial health and the feasibility of introducing compensation for directors. Any decision to implement compensation must be made with a supermajority (at least two-thirds) vote of the full Board and must consider the best interests of Hasana and its mission.

b. Compliance and Transparency: Any compensation policy shall comply with state and federal regulations governing nonprofit organizations, ensuring that such compensation is reasonable and does not jeopardize the organization's nonprofit status. Details of any director compensation shall be transparently disclosed in the organization's financial statements and reports.

Section 4: Implementation

Should the Board decide to adopt director compensation, a detailed policy outlining the terms, conditions, and processes for compensation will be developed and incorporated into these bylaws as an amendment, following the proper procedures for bylaw amendments.

Article 6: Meetings

Section 1: Regular Meetings

Regular meetings shall include an agenda and shall be held at least quarterly. Notice of regular meetings shall be sent via text or email at least 3 days before the meeting. No voting on the removal, adoption, amendment, or repeal of these by-laws shall occur unless stated otherwise in the agenda.

Article 7: Committees

The Board may establish committees, if the Board votes there to be a need, to focus on specific areas such as fundraising, event planning, or community outreach. Each committee shall have a designated chairperson appointed by the Board and will operate under the guidelines set forth by the Board to ensure alignment with Hasana’s mission. Committees are encouraged to meet regularly and report their progress to the Board.

Article 8: Corporate Records

Section 1: Maintenance of Corporate Records

The organization shall maintain accurate and complete records of its activities, including financial transactions, meeting minutes, and correspondence. These records shall be kept in a secure location and be accessible to Board members for review.

Section 2: Disclosure and Transparency

Hasana commits to a high level of transparency in its operations. Annual reports detailing event outcomes and strategic goals will be made available to the public. The organization will also ensure that donors receive updates on how their contributions are being used to further the mission.

Article 9: Dissolution

Section 1: Disposition of Assets

In the event of dissolution, Hasana’s assets shall be distributed for tax-exempt purposes, to organizations that are aligned with Hasana’s mission, as determined by the Board. Preference will be given to organizations focusing on community empowerment and relief efforts nationally and globally. The distribution of assets will comply with applicable legal requirements.
